1. Acceptance of These Terms

These Terms of Use (“Terms”) govern your access to and use of https://www.katfabricators.com/ (the “Site”), operated by KAT Fabricators (“KAT,” “we,” “us,” or “our”). By using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

2. Website Purpose; Separate Project Agreements

The Site provides general information about KAT’s fabrication and installation capabilities and allows builders, remodelers, designers, architects, multifamily developers, cabinet makers, commercial contractors, property managers, and other trade professionals to request estimates, consultations, or trade-partner information. The Site does not itself sell products, accept payments, award work, or create a binding bid, purchase order, subcontract, fabrication agreement, or installation contract.

Any project will be governed by the applicable written estimate, bid, proposal, purchase order, subcontract, master service agreement, work order, warranty, credit document, or other agreement presented for that project. If a project agreement conflicts with these Terms, the project agreement controls for that project.

3. Quotes, Consultations, and Scheduling

Submitting an estimate request, plans, specifications, a bid invitation, a trade-partner inquiry, or a consultation request does not obligate you to award work and does not obligate KAT to bid, accept, reserve capacity for, or perform a project. Appointment and site-visit requests are subject to confirmation, availability, service-area limitations, safety requirements, and access to the jobsite. Automated confirmations are not guarantees that a requested time is final.

Website descriptions, photographs, price examples, timelines, promotions, and other content are informational and may change. An estimate, quote, or bid is not final unless issued or confirmed by KAT in writing. Final pricing and timing may depend on plans and specifications, field measurements, quantities, material availability, site conditions, phasing, schedule, labor requirements, taxes, credit approval, and other project details. Website statements concerning capacity, turnaround, scheduling, credentials, preferred treatment, or volume pricing are general descriptions and are not contractual commitments.

4. Materials and Visual Representations

Natural stone and manufactured surfaces may vary in color, pattern, veining, texture, finish, shade, thickness, and appearance. Screen settings, lighting, photography, and sample size can also affect appearance. Images on the Site are illustrative and do not guarantee an exact match. Material selection, tolerances, seams, care requirements, and warranties will be addressed through the applicable project documentation.

5. Communications and SMS Terms

When you provide contact information regarding a quote, consultation, or project, you authorize KAT to contact you about that request using the contact methods you provide, subject to applicable law. Marketing consent is optional and is not a condition of purchase.

If you separately opt in to promotional text messages, you agree to receive recurring marketing texts from KAT Fabricators at the number provided, including texts sent using automated technology. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help. Carriers are not liable for delayed or undelivered messages. 6. Acceptable Use

• Use the Site in violation of any law or another person’s rights;
• Submit false, misleading, fraudulent, unlawful, or harmful information;
• Attempt to gain unauthorized access to the Site, accounts, systems, or networks;
• Introduce malware, interfere with Site operation, or circumvent security measures;
• Use scraping, bots, automated extraction, or similar means except as expressly authorized by KAT or permitted by law;
• Copy, modify, distribute, sell, license, or exploit Site content except as allowed by these Terms; or
• Impersonate another person or misrepresent your affiliation with any person or organization.

7. Intellectual Property

The Site and its text, photographs, graphics, logos, designs, videos, software, and other content are owned by KAT or its licensors and are protected by intellectual-property laws. KAT grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your internal business or professional evaluation of KAT’s services. No other rights are granted.

8. Information and Materials You Submit

You retain ownership of plans, specifications, drawings, schedules, photographs, comments, and other materials you submit. You grant KAT a nonexclusive, worldwide, royalty-free license to use, reproduce, store, adapt, and share those materials as reasonably necessary to evaluate an opportunity, prepare an estimate or bid, coordinate or perform a project, maintain business records, and comply with law.

You represent that you are authorized to submit the materials and that our permitted use will not violate confidentiality obligations or another person’s rights. Unless separately agreed in writing, submitting materials through the Site does not create a confidentiality, exclusivity, fiduciary, design-professional, or other special relationship. KAT will not publicly identify a nonpublic project or use nonpublic project materials in advertising without permission or another lawful basis.

9. Trade Partner and Business Inquiries

Trade-partner descriptions, preferred scheduling, dedicated support, volume pricing, and similar program features are subject to eligibility, onboarding, capacity, credit approval, project type, geography, and a separate written agreement. Submission of an inquiry or application does not guarantee acceptance or any particular pricing, territory, capacity, or service level.

10. Third-Party Services and Links

The Site may contain third-party links, tools, content, or embedded services, including scheduling services. Third-party services are governed by their own terms and policies. KAT does not control and is not responsible for third-party content, availability, security, or practices.

11. Disclaimer of Website Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KAT DISCLAIMS ALL WARRANTIES RELATING TO THE SITE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KAT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE. THIS DISCLAIMER APPLIES TO THE WEBSITE AND DOES NOT REPLACE ANY EXPRESS WARRANTY INCLUDED IN A SEPARATE PROJECT AGREEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAT AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE. KAT’S TOTAL LIABILITY FOR A CLAIM ARISING SOLELY FROM USE OF THE SITE WILL NOT EXCEED $100. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW AND DO NOT ALTER LIABILITY EXPRESSLY ASSUMED IN A SEPARATE PROJECT AGREEMENT.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless KAT and its owners, employees, and agents from claims, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the Site, your violation of these Terms, or materials you submit that infringe or violate another person’s rights.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising solely from these Terms or use of the Site must be brought in a state or federal court located in Dallas County, Texas, and you consent to that jurisdiction and venue. Any dispute concerning a commercial or trade project may instead be governed by the dispute provisions in the applicable project agreement.

15. Changes; Suspension

We may update these Terms by posting a revised version with a new effective date. Changes apply prospectively. We may modify, suspend, or discontinue all or part of the Site at any time. Your continued use after revised Terms become effective constitutes acceptance of the revised Terms.

16. General Terms

If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent. Headings are for convenience only. These Terms and the Privacy Policy are the entire agreement concerning use of the Site, subject to any separate project agreement.
